Kien Luong Phase 1 – 1200 MW Coal-Fired Power Plant: Confidential Invitation to Tender EPC Contract

Tan Tao Energy Corporation (TEC) and its partners (“the Owners”) are developing the Kien Luong Power Project to build, as a first phase, a 1200 MW coal-fired power plant at Kien Luong on the southwest coast of Vietnam (the "Project").

Ladies and Gentlemen:

Tan Tao Energy Corporation (TEC) and its partners (“the Owners”) are developing the Kien Luong Power Project to build, as a first phase, a 1200 MW coal-fired power plant at Kien Luong on the southwest coast of Vietnam (the "Project").

The Project Finance is back up by the Government of Vietnam.

The Owners are seeking proposals from prospective contractors ("Bidders") to provide engineering, construction and procurement services for the Project on a fixed price turnkey basis pursuant to an EPC Contract that includes the terms described herein and in the accompanying documents.

[Company] is invited to submit a proposal to become the EPC Contractor for the Project, complying with the requirements of the tender process described herein and in the accompanying documents.

To assist you in preparing your proposal, we enclosed herewith an Invitation to Tender (ITT) package comprising of the following documents:

  • Volume 1 - Instruction to Bidders;
  • Volume 2 - Contract Term Sheet;
  • Volume 3 - Technical Specifications; and
  • Volume 4 - Proposal Forms and Data Sheet.

A limited geotechnical survey has been undertaken, and is included in Volume 3 of this ITT.

These documents set out the processes, activities and procedures to be adopted for this enquiry together with, in summary form, the terms of any EPC Contract that would be incorporated into a comprehensive EPC Contract to be finalised between the Owners and the successful Bidder.

The Owners are seeking proposals that comply with the terms and conditions set forth herein and in the accompanying documents, and proposals that do not comply with such terms and conditions may be considered less favourably or rejected. However, the objective is to produce a cost effective plant that will meet the Owner's requirements and EVN tariff expectations. If Bidders consider deviations or modifications to the bidding requirements to be necessary to achieve these objectives, then Bidders should clearly identify such deviations and modifications and explain the rationale therefor.

The Owners reserve the right to retain all information received from the Bidder pursuant to the tender process. All information received will be treated as proprietary and confidential. By accepting this invitation, Bidders are deemed to have agreed to the terms of confidentiality set forth herein. If any Bidder does not agree or wish to participate in the tender process, such Bidder is requested to return the ITT to the undersigned immediately, without retaining any copies thereof.

In issuing this request for proposal, Owners make no representation or warranty and undertake no commitment or undertaking to any person. Owners reserve the right to amend or supplement the terms of the requirements of this tender, any proposal and any requirements of the EPC Contract or commitments sought from any Bidder, including the workscope or time-line, and the right to accept or reject any or all proposal submitted by the Bidder.

The deadline for submissions by Bidders is 4:30 p.m., Monday, 1st of June, 2009, Vietnam time.
